Edge Advantage Terms of Service

These Terms of Service ("Terms") govern your access to and use of Edge Advantage, including the Edge Advantage Community, Training, Development and Coaching spaces (together, the "Tiers"), operated by Edge Advantage, LLC ("Edge Advantage," "we," "us," or "our") and hosted on C2Local. By creating an account or otherwise accessing the Tiers, you agree to these Terms.

1. Acceptance of Terms

By requesting to join, creating an account for, or otherwise accessing Edge Advantage, you confirm that you have read, understood, and agree to be bound by these Terms and by our Tier Guidelines, which are incorporated into these Terms by reference. If you do not agree, you should not join or use the Tiers.

2. Eligibility & Accounts

You must be at least 18 years old to join Edge Advantage. By joining, you represent that all information you provide is accurate and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use of your account.

3. Purpose of the Tiers

• Edge Advantage is made up of 4 audience-specific spaces:

•  Edge Advantage Community – for professionals and people leaders.

•  Edge Advantage Training – a repository of priced and free on-demand training materials.

•  Edge Advantage Development – a 12-topic leadership development system

•  Edge Advantage Coaching – one on one and group coaching for people leaders and sales professionals and specialists.

These spaces exist to build genuine peer connection, host live challenges, workshops, webinars and provide resources for member information. Membership in any space does not guarantee an invitation to any other program, cohort, or cross platform cost savings.

4. Member Conduct

You agree to engage with other members respectfully and in good faith. Without limiting the general expectation of respectful conduct, you agree not to:

•  Harass, threaten, demean, or discriminate against any other member;

•  Post content that is unlawful, defamatory, fraudulent, or infringes on another party's rights;

•  Impersonate any person or misrepresent your affiliation with any person or entity;

•  Share another member's personal information without their consent;

•  Use automated means (bots, scrapers) to access or collect data from the Tiers; or

•  Attempt to circumvent any access, security, or moderation feature of the Tiers.

5. No Selling or Solicitation

Edge Advantage Tiers are peer and connection spaces, not marketplaces. Unless you have received our prior written permission, you agree not to use the Tiers to:

•  Advertise, promote, or sell your own products, services, coaching, or programs;

•  Solicit other members for business, consulting, or sales purposes, including via direct message;

•  Recruit members into a separate community, list, program, or paid offer of your own; or

•  Post affiliate links, referral codes, or sponsored content.

We reserve the right to remove any content that violates this section and to remove members who repeatedly or egregiously violate it, without prior notice.

6. Your Content & License

You retain ownership of any content you post in the Tiers ("Member Content"). By posting content, you grant Edge Advantage, LLC a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content within the Tiers and in connection with operating and promoting the Tiers (for example, an anonymized or attributed testimonial or highlight). This license ends when you delete the content or your account, except where content has already been shared by other members within the Tiers.

You are solely responsible for the Member Content you post and confirm that you have the necessary rights to share it.

7. Moderation & Removal

We moderate the Tiers to keep it useful and on-purpose for members. We reserve the right, at our sole discretion and without prior notice, to:

•  Remove or edit any content that violates these Terms or our Tier Guidelines;

•  Suspend or terminate any member's access to the Tiers; and

•  Decline or revoke access to any individual, for any reason or no reason, prior to or after admission.

Because Tier privacy is set to closed, content and member activity within the Tiers are not visible outside the Tiers or to search engines — but they remain visible to us and to other members for moderation purposes.

8. Third-Party Platform (C2Local)

Edge Advantage is hosted using C2Local, a third-party community platform. Your use of the Tiers is also subject to C2Local's own terms of service and privacy policy, which govern the underlying technical infrastructure. We are not responsible for outages, data handling practices, or changes made by C2Local that are outside our control. If we change platforms in the future, these Terms will continue to apply to your membership in Edge Advantage regardless of the underlying platform.

9. Intellectual Property

Except for Member Content, all materials made available in the Tiers — including the Edge Advantage name, branding, guides, templates, and resources — are owned by Majority Media or its licensors and are protected by applicable intellectual property laws. You may not copy, redistribute, or repurpose these materials outside the Tiers without our prior written permission.

10. Disclaimers

The Tiers and any content, resources, or opportunities made available through it are provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not guarantee that participation in the Tiers will result in any particular business outcome, opportunity, or result, including use of the Training materials, any part of the Development program or any Coaching services.

Views and advice shared by members are their own and do not represent the views of Edge Advantage, LLC.

11. Limitation of Liability

To the fullest extent permitted by law, Edge Advantage, LLC and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of, or inability to use, the Tiers — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of the Tiers will not exceed the amount paid, to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Edge Advantage, LLC and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your Member Content, or your interactions with other members of the Tiers.

13. Termination

You may leave the Tiers at any time. We may suspend or terminate your access at any time, with or without cause and with or without notice. Sections of these Terms that by their nature should survive termination (including Sections 6, 9, 11, and 12) will continue to apply after your access ends.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify members within the Tiers. Continued use of the Tiers after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles, and any disputes will be resolved in the state or federal courts located in New Jersey, United States.
